TERMS & CONDITIONS QR-023 REV. 4.0
1. Acknowledgement: All purchase orders upon receipt are to be promptly acknowledged.
2. C of C: Manufacturer Certificate of Conformance is required for all shipments. Country of origin must be on C of C or packing slip.
3. Changes: Substitutions, changes or delays not accepted unless approved. Supplier shall notify Norstan Electronics, Inc. of any changes to the contracted product or process, product definition, changes of suppliers, and any change of manufacturing facility location and obtain approval as required.
4. Indemnify: By accepting this order you agree to indemnify us against any claims and demands for infringements of patents covering the whole or any portion of the goods.
5. Shortage: Advise immediately if any shortage or delay in shipment.
6. Cartage/Boxing Expense: We will not pay an cartage or boxing expense unless arranged for before execution of this order.
7. Communication: Address all communications regarding this order to the undersigned at the address on the purchase order.
8. Test Reports: Test reports covering all materials must be furnished with each shipment indicating conformance with applicable specification requirements when required.
9.Early Shipments: Any items delivered prior to their scheduled delivery date shall be paid only in accordance with the agreed-upon delivery dates, such instances excepted where otherwise agreed upon between the parties.
10. Partials: Partials are acceptable unless otherwise noted.
11. FLSA: Supplier warrants good shipped are produced in accordance withe applicable provisions of the Fair Labor Standards Act.
12. Calibration: Supplier certifies that a system for the calibration and maintenance of inspection and test equipment meets the requirements of the National Institute of Standards Technology calibration standard.
13. Nonconforming Product: Supplier shall notify Norstan of all nonconforming product within 24 hours. Seller shall maintain a system for processing nonconforming product and timely corrective action.
14. Terms: Discount and payment periods will begin from the date on the invoice or packing slip, whichever is later.
15. Access: Norstan reserves the right of access for itself, customers and regulatory authorities to the applicable facilities involved in this order, as well as all applicable documented information pertaining to the execution of this order, at any level of the supply chain.
16. Quality Management System: All suppliers shall maintain a quality management system in compliance to current quality standards.
17. Inspection and Acceptance: All products received by Norstan Electronics, Inc. will be subject to inspection and acceptance or rejection. Rejected products will be held for disposition pursuant to Suppliers instruction and at Suppliers expense.
18. Warranty: Supplier warrants that all products covered by this order will conform to the materials, specifications, drawings, be of good material and workmanship, and free from defects.
19. Counterfeit/Unapproved: Supplier warrants that the goods delivered pursuant to this purchase order, shall be new, be and only contain materials obtained directly from the Original Equipment Manufacturer (OEM) or an authorized OEM reseller or distributor; not be or contain suspected unapproved, unapproved or counterfeit items, contain only authentic, unaltered OEM labels and other markings. Seller shall have a Counterfeit Prevention policy.
20. Flow-Down: Supplier shall flow-down to its sub-suppliers, these terms and conditions and any other applicable requirements in the purchase documents.
21. Export Control: If supplier is a U.S. company that engages in the business of either manufacturing or exporting defense articles or furnishing defense services the supplier hereby certifies that it has registered with the U.S. Department of State Directorate of Defense Trade Controls and understands its obligation to comply with International Traffic in Arms Regulations (ITAR) and the Export Administration (EAR).
22. Conflict Minerals: On Aug. 22, 2012, the Securities and Exchange Commission (SEC) adopted the Conflict Minerals Final Rule to implement Section 1502 of the Dodd-Frank act. The act imposes SEC reporting requirements upon publicly-traded companies whose products contain metals derived from minerals defined as 'conflict minerals' or derivative materials of these metals derived from the Democratic Republic of Congo. The metals currently are: tantalum, tin, tungsten and gold. All suppliers are required to comply with the conflict minerals rule.
23. Record Retention: Supplier shall retain all records pertaining to this order for 15 years from the final ship date. After 15 years destroy documents.
24. FOD Prevention: Supplier shall have a program for the prevention, detection, and removal of foreign objects from its products.
25. Competence: Supplier shall ensure personnel performing work effecting conformity to product or service are competent, including any required qualifications, and are aware of their contribution to product or service conformity.
26. Ethics: Supplier shall maintain ethical standards and adhere to all applicable laws.
27. Product Saftey: Suppliers shall ensure that their personnel are aware of product safety, and that all product supplied to Norstan Electronics, Inc. are in the state in which the product is able to perform to its designed or intended purpose.
